eLearning Course Terms and Conditions

1. Definitions and Interpretation

"Access to Learning Management System (LMS)": means the platform, Trained Safe via LearnWorlds, where learners can access, track, and complete eLearning courses, with a subscription allowing up to 100 learners per year.
"Course Branding/Customisation": means the visual adaptation of eLearning courses to match a client’s branding, including logo placement, color schemes, and stylistic adjustments. This does not include significant changes to character designs or illustrations.
"WHS Content and Compliance": means the content provided in CORE and WHS eLearning courses, which is subject to client review and approval to ensure compliance with relevant legal and industry standards. One round of revisions is included, with additional changes subject to extra fees.
"Bespoke Course Development": means the creation of custom eLearning courses or modules tailored to the specific training needs of the client, ensuring alignment with organisational goals and industry standards.
"Custom Animations, Video Content, and Interactivity": means optional upgrades to eLearning courses that include additional animations, videos, or interactive elements to enhance learner engagement, which are quoted separately based on scope and complexity.
"Payment Terms": means the terms related to the billing of services, which include upfront fees for onboarding workshops and monthly subscription payments for a minimum of 24 months. A 3% impost fee applies to monthly debits processed via Ezidebit.
"Intellectual Property": means all intellectual property rights to the content and materials created as part of bespoke eLearning courses, which remain the property of Vmation Pty Ltd unless otherwise agreed. Clients are granted a limited license for internal training purposes.
"Liability": means that Vmation Pty Ltd is not responsible for any direct or indirect damages resulting from the use or inability to use the courses provided. It is the client’s responsibility to ensure compliance with regulatory and industry standards.
"Cancellation Policy": means that cancellations made after the commencement of a project will incur a fee based on the percentage of work completed, with a minimum cancellation fee of 20% of the total project cost.
"Amendments": means that these Terms and Conditions may be updated from time to time, and clients will be notified of any changes before the start of any new project or service.

2. Access to Learning Management System (LMS)

All eLearning course subscriptions include access to our LMS, Trained Safe via LearnWorlds, for up to 100 learners per annum. Additional learners beyond this limit may incur additional fees, which will be invoiced accordingly.

3. Course Branding/Customisation

Course branding is included with your bespoke eLearning subscription. This includes visual and stylistic adjustments to match your organisation's branding. However, please note that branding does not encompass major alterations to character designs or illustrations. Such changes may require additional design work, which will be quoted separately.

4. WHS Content and Compliance

Through our live Rise course review links, we provide you the opportunity to review and assess the copy of our CORE and WHS eLearning courses. It is your responsibility to thoroughly review all copy, ensuring the content is accurate, clear, and aligned with your organisation’s standards. 

Any alterations or updates to Workplace Health and Safety (WHS) copy and compliance content must be approved and signed off by your organisation. Only one round of revisions to copy is provided for by Vmation. Any further changes may incur additional fees. Any legal or regulatory changes requiring significant content modification may incur additional fees, which will be invoiced at cost. Wherever changes are requested, you are required to provide the exact wording and desired location of updated content. Vmation will not edit or rewrite existing materials on your behalf.

Your organisation must review and approve WHS content to ensure compliance with industry standards. It is the client's responsibility to ensure that all compliance and regulatory content is up to date and approved for use within their organisation. Vmation will not be held liable for any breaches or incidents resulting from incorrect or out of date content provided by you.

5. Bespoke Course Development

You may request additional bespoke courses or modules to meet your business's unique learning requirements. These custom courses can be tailored to address specific training needs, ensuring that they align with your organisation's goals and industry standards.

6. Custom Animations, Video Content, and Interactivity

To enhance learner engagement, you have the option to add custom animations, video content, or interactive elements to your courses. These additions are available as optional upgrades and will be quoted separately based on the scope and complexity of the request.

7. Payment Terms

All projects, including bespoke course development and additional services, will be quoted and invoiced based on the scope of work. The onboarding workshop fee is required before the commencement of any work, with the subscription due monthly for a minimum of 24 months. A 3% impost fee will be incurred for the monthly debit via Ezidebit.

8. Intellectual Property

All intellectual property rights to the content and materials created as part of the bespoke eLearning courses remain with Vmation Pty Ltd unless otherwise agreed in writing. Clients are granted a limited license to use the content for internal training purposes only.

9. Liability

Vmation Pty Ltd will not be liable for any direct or indirect damages arising from the use or inability to use the courses provided. It is the client's responsibility to ensure that all compliance and regulatory content is up to date and approved for use within their organisation.

10. Cancellation Policy

Any cancellations made after project commencement will result in a fee based on the percentage of work completed at the time of cancellation. The minimum fee for cancellations is 20% of the total project cost.

11. Amendments

These Terms and Conditions may be amended from time to time. Clients will be notified of any changes prior to the commencement of new projects or services.
